Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer," "Educational Institution," "you," or "your") and HelpRevX Software Private Limited, a company incorporated under the Companies Act, 2013, with CIN U620110D2026PTC053140 and registered office at No. 7, R K Nagar, Padmapur, Rayagada, Odisha 765026, India ("HelpRevX," "we," "us," or "our").

These Terms govern your access to and use of Vidyapeeth360.com and its associated cloud-based modules, mobile applications, APIs, and related educational management services (collectively, the "Services").

2. Account Registration and Security

• Institutional Authority: The primary account must be registered by a legally authorized representative of the Educational Institution.
• Accuracy of Information: You must provide accurate, current, and complete administrative and tax information (e.g., GSTIN) during registration.
• Credential Security: You are strictly responsible for maintaining the confidentiality of all admin and user credentials. You must ensure your Authorised Users (staff, parents, students) are informed of their security obligations.
• Breach Notification: You must notify us immediately at [email protected] upon becoming aware of any unauthorized access or data breach concerning your account.
• Account Suspension: We reserve the right to suspend accounts or user profiles that exhibit signs of compromise or suspicious activity to protect sensitive educational records.

3. Grant of Rights

Subject to your compliance with these Terms and timely payment of applicable fees, HelpRevX grants your Educational Institution a limited, non-exclusive, non-transferable, non-sublicensable right to access and use Vidyapeeth360 during the Subscription Term, strictly for your internal educational and administrative operations.

Restrictions: You shall not:

1. Sublicense, resell, or distribute the Services to unaffiliated third-party institutions.
2. Access the Services to build a competitive school management product.
3. Exceed the student enrollment limits or usage metrics specified in your Order Form.

4. Acceptable Use Policy

You agree not to, and shall ensure your Authorised Users do not, use the platform to:

• Violate Laws: Engage in any activity that is unlawful or violates Applicable Law, including privacy violations of minors.
• Distribute Spam/Malware: Transmit unsolicited bulk messages to parents/staff or upload malicious software to the school portal.
• Compromise Security: Attempt to bypass, disable, or reverse-engineer any security, rate-limiting, or access control mechanisms within Vidyapeeth360.
• Infringe Rights: Upload educational materials or content that infringes on third-party intellectual property rights.
• Misuse Minor Data: Process data of individuals under 18 without obtaining the legally mandated verifiable parental or guardian consent under the DPDP Act.

We reserve the right to suspend or terminate access, with or without notice, for material violations of this Acceptable Use Policy.

5. Fees, Billing, and Taxes

5.1 Subscription and Module Fees

Fees are determined by your selected modules (e.g., core ERP, fee management, transport tracking) and student headcount, as specified in your Order Form. Paid plans are billed in advance on an annual or monthly cycle. Any usage-based add-ons (e.g., premium SMS gateways for parent alerts) are billed in arrears.

5.2 Taxes

All fees are exclusive of applicable taxes. For institutions in India, Goods and Services Tax (GST) at the prevailing rate (currently 18% for SaaS under SAC 998314) will be applied.

5.3 Payment Terms and Defaults

Invoices must be paid within 15 days of the due date. Late payments may accrue interest at 1.5% per month. HelpRevX reserves the right to suspend platform access after 30 days of non-payment, following a 7-day written notice, which may restrict staff and parent portal access.

6. Customer Data and Intellectual Property

6.1 Ownership of Educational Records

The Educational Institution retains all rights, title, and ownership of its Customer Data, including all student records, grades, and financial data. By using the Services, you grant HelpRevX a limited, secure license to process this data strictly to provide and maintain the ERP platform on your behalf.

6.2 Platform Intellectual Property

Vidyapeeth360, including its software, UI/UX, proprietary grading algorithms, and documentation, remains the exclusive property of HelpRevX Software Private Limited.

6.3 Aggregated System Data

We may generate anonymized, aggregated statistical data regarding platform usage (e.g., average server load during exam seasons) for system optimization. This data will never contain Personally Identifiable Information (PII) of students or staff.

7. Automation and AI Tools

If your institution utilizes automated analytics, AI-assisted grading, or automated chatbot features within Vidyapeeth360:

• Human Oversight: Automated insights or academic flags must be reviewed by qualified educators. HelpRevX is not responsible for academic or disciplinary decisions made based on automated platform outputs.
• Data Isolation: Your institution's data is never pooled or used to train general external AI models.

8. Service Availability

We operate, monitor, maintain, and support Vidyapeeth360 using the service arrangements described in the applicable Order Form and support documentation. This public page does not create a numerical uptime commitment, service-credit entitlement, or response-time guarantee. If the parties sign an Order Form or service-level addendum containing specific availability terms, that signed document governs those commitments.

9. Term and Termination

9.1 Renewals and Cancellation

The renewal date, notice period, and any automatic-renewal term are stated in the applicable Order Form, checkout, or purchase confirmation. A trial does not become paid merely because time elapsed. Paid service may begin at expiry only after an authorised School representative selected the paid plan and completed the required mandate, checkout, or Order Form.

9.2 Effect of Termination

Upon termination of your Vidyapeeth360 contract:

1. Active access to the school portal, staff dashboard, and parent apps will cease.
2. We provide a 30-day grace period for the School Administrator to safely export all Customer Data (student records, HR files, financial logs).
3. Following this period, eligible Customer Data is deleted or de-identified from active systems within 90 days. Records that must be retained for academic, safeguarding, financial, security, consent, audit, or other legal obligations remain restricted to those purposes for the required period.

10. Warranties, Disclaimers, and Limitation of Liability

Warranty: We warrant that Vidyapeeth360 will function materially as described in our official documentation.

Disclaimer: Except as expressly stated, the Services are provided "as is". We disclaim all implied warranties of merchantability or fitness for a particular purpose. We do not warrant that the platform will be completely error-free.

11. Indemnification

• By HelpRevX: We will indemnify the Customer against third-party claims alleging that the Vidyapeeth360 software infringes on intellectual property rights.
• By the Customer: The Educational Institution agrees to indemnify HelpRevX against any claims arising from the Institution's violation of Applicable Law (including failure to obtain necessary parental consents for data processing) or breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising out of this agreement shall be settled through binding arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator in Rayagada, Odisha, India. The language of arbitration shall be English.

13. General Provisions

• Amendments: We may update these Terms by posting revisions on this page. Material changes affecting educational compliance or pricing will be notified via email to your primary admin account 30 days in advance.
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control (natural disasters, pandemics, government mandates).
• Severability: If any clause is deemed legally unenforceable, the remainder of the Terms shall remain intact.
